Clear Channel Entertainment and Gaiety Investments have bought Mean Fiddler Music Group for a reported £37.9 million.
Mean Fiddler Music Group owns the Carling Weekend Reading and Leeds festivals and has a 39% stake in the prestigious Glastonbury Festival.
If the deal is approved Mean Fiddler founder Vince Power will pocket around £13million for his 35% stake in the company.
As well as its festivals, Mean Fiddler also operates London venues the Astoria, the Garage, the Forum, the Jazz Café and the Mean Fiddler itself.
The deal comes as Glastonbury announces the line-up for this year's festival, which includes Coldplay, Kylie Minogue, White Stripes, Razorlight, Bloc Party and Kasabian.
